Welcome to use UUSPY. These services are provided by UUSPY (“we,” “us,” “our”) on the following terms and conditions.
Please read this Service Agreement carefully as it sets out important information relating to the services, your rights and obligations when using our services.
These terms and conditions of use apply to all visits to our service, both now and in the future. By accessing and using our services, you unconditionally agree and accept to be legally bound by these terms and conditions of use. If you do not agree to these terms and conditions of use, do not use our services.
If you violate the terms of this agreement when using our services we reserves the right to seek all remedies available under the law and in equity for such violations.

Premise

1.1 If you use our services, you should provide us with existing, complete and accurate registration information (including but not limited to your name, contact number, contact email, etc.) and pass verification to obtain the registered account and password provided by us. You are obliged to ensure the authenticity and validity of the personal information you provide, and during the use of the service, you undertake to update your registration information to us at any time.
1.2 In order to maintain the confidentiality of your account, you should take necessary measures to limit unauthorized use/access to your computer or mobile device and ensure that your login password is not disclosed to any third party. You agree to be responsible for all activities that occur under your account or on your logged-in device (such responsibilities will survive even if this agreement terminates).
1.3 The account can only be used by the original registrant of the account; without the written permission of us, you may not lend, donate, rent, sell or otherwise license your account to any third party for use with or without compensation, Otherwise, you shall be solely responsible for any liability arising therefrom.

Limited License

2.1 When you use the services provided by us, unless otherwise agreed, we hereby grant you a limited, non-transferable, non-subcontracting, and revocable license to allow you to use the services, platforms or reports included in the services provided by us. Unless prohibited by law from making the following restrictions or you have obtained written permission from us, you must not:
(1) Transfer, sell or rent our services or any part of the software, platform or reports contained therein;
(2) Modify, edit or create derivative works for the software, platform and reports;
(3) Disseminate or demonstrate in public our services or the software, platforms or reports contained therein;
(4) Modify or reproduce the material, remove any copyright or other proprietary notations from the material;
(5) Attempt to reverse engineer or otherwise attempt to obtain the source code for any of our software；
(6) Transfer material to another person or "mirror" material on any other server；
(7) Use for purposes other than these Terms of Service or the written agreement between the parties.
2.2 As a necessary condition for using the services provided by us, you agree to use our services in a manner expressly permitted by applicable laws and regulations, and your use will not be used for any infringing, illegal or criminal activities purpose, nor does it facilitate or assist any infringing, illegal or criminal action through our services. In particular, in the event that our service allows or requires you to fill in web links and/or upload data or other content (hereinafter collectively referred to as "user content"), you shall ensure that the user content and its indirect references are legal and legal regulations, there is no infringing, illegal, or criminal-related content, and you are not allowed to upload/publish any form of content without the permission of us. You hereby agree to authorize us to use your company name, trademark, service mark and/or trade mark for related commercial promotions on its website, marketing materials and news reports.

Limited Responsibility

3.1 We authorize users to use our services to visit online stores, obtain relevant data and potential models from open channels, help users find popular products, assist in product pricing, assist in quick selection, support users to view daily sales, sales and other data of user’s online stores, and help users optimize store operation strategies. Users shall strictly abide by relevant laws and regulations when using our services. If users use the services provided by us for purposes other than this Agreement or for illegal purposes, we shall not assume any responsibility.
3.2 We are committed to providing reasonable, accurate and complete information on the market, but do not guarantee the reasonableness, accuracy and completeness of the information and accept no responsibility for any loss or damage caused by the unreasonable, inaccurate or omission of the information. All the information in our services is for reference only, and is not the basis for transactions and services. We are not responsible for any deviations in the data of our services by using it by yourself.
3.3 We will adopt comprehensive security protection measures to prevent the content of our services from being lost or abused. Any force majeure that affects the normal operation of the network due to hacker attacks, computer virus intrusions or outbreaks, temporary shutdowns due to government regulations, etc. We are exempt from liability for any loss caused.
3.4 If the service needs to be suspended due to system maintenance or upgrade, we will notify you in advance. If the service is suspended due to line and hardware failure beyond our control or other force majeure, we are exempt from liability for the loss caused during the suspension of service.
3.5 We firmly resist the promotion of plagiarism and vulgar materials in the current mobile Internet industry, and hope that users can reasonably use material creativity and market intelligence to jointly promote the healthy development of the mobile Internet advertising market. We are not responsible for legal disputes caused by improper use of the information provided by this software, such as plagiarism and direct use in commercial operations. Anyone who logs into the software or uses the software materials directly or indirectly in any way is deemed to accept this statement voluntarily.

Others

4.1 All our materials are provided "as is". We make no warranties, express or implied, and therefore all other warranties are void. Furthermore, we make no representations as to the accuracy or reliability of the use of material on our services or with respect to such material or any site linked to our services.
4.2 The material appearing on our services may include technical, typographical or photographic errors. We do not warrant that any material is accurate, complete or current. We may change the materials contained in the Services at any time without notice.
4.3 Our service has not reviewed all sites linked to our service and is not responsible for the content of any such linked site. The existence of any link does not imply endorsement of the site. Use of any linked site is at the user's own risk.

Changes and Termination to Services

We are always changing and improving the services we offer. We may add or delete a certain service function, and may also suspend or completely stop a certain service. For free service users, you can stop using our services at any time, and we may stop providing services to you at any time, or add or set new restrictions on our services at any time. However, for users of paid services (if any), if we change or stop providing a certain paid service, we will give users a reasonable advance notice if possible. If the user violates its code of conduct in these terms of service, We have the right to terminate the provision of the service to the user at any time without prior notice. And We do not need to refund any fee that has been collected (if any). If the user causes losses to us, we have the right to pursue economic losses to the user.

Changes of this Agreement

We have the right to change or add to the terms of this Agreement at any time, solely with prospective effect, and to change, delete, discontinue, or impose conditions on use of the Services by any reasonable means. We will provide you with Notice of any changes through via email, or other reasonable means. If you are an existing user, your use of the Service constitutes your acceptance of the terms of the modified Agreement. If you do not accept a change to this Agreement, you must terminate the Agreement by closing your Account before the change takes effect.

Governing Law

This Agreement and any dispute, controversy or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of Hong Kong S.A.R.

Dispute Resolution

Any dispute arising or in connection with this Agreement will be resolved through friendly consultation between the Parties. In case no settlement can be reached, the disputes shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one.
